Terms of Application (*modified part has been underlined.)
1. Purpose of Exhibition
    The Japan Graphic Arts Show 2009 (JGAS2009) is organized by the Japan Graphic Arts Suppliers Committee (JGASC). Its purpose is to develop and invigorate the graphic arts industries. JGAS provides people with opportunities to survey future technologies and to identify trends in printing and paper-converting technology. The show also facilitates international contacts for personnel in the graphic arts industries.
2. Exhibits, Eligibility of Exhibitor
The following can be shown in the exhibition:
(1) Prepress, press, bookbinding machines, paper-converting machines, packaging/screen/ seal/label printing machines and related equipment/systems, and other related materials such as printing ink, etc.
(2) Companies, firms, bodies or persons who engage in designing, manufacturing and sales related to the above products (including program/software), and who are approved as participants by JGASC, can participate in the exhibition.
(3) Second hand products can be exhibited only in the “Second Hand Products Section” set up by JGASC.
(4) JGASC may request an applicant to submit relevant documents to confirm its eligibility as an exhibitor.
3. Participation Fee
(1)   The Participation Fee is as follows.
For those who apply for more than 100 units, 150 units and 200 units, there will be one percent (1%), two percent (2%) & four percent (4%) discount offset from the Total Payment.

      A Japanese company or an agent of a foreign enterprise is not an “overseas exhibitor.”
      In the case of booth separation (small units), a panel system, which consists of panel board, pole and beam, will be used. The size of a single unit is 2.97m x 2.97m.
  (2)   The Participation Fee includes the following:
      1) Usage fee of occupying an allocated space during the exhibition and move-in and move-out periods
      2) Exhibitor passes effective during the exhibition and move-in and move-out periods (Details are specified separately.)
      3) Free invitation tickets (50 per unit)
      4) Listing on the Exhibition Catalog(Refer to Clause 11.)
      5) A copy of the exhibition report
 
4. Application Period
    JGASC will receive applications from Tuesday, November 4, 2008 to Thursday, April 30, 2009. Applications arriving on or after Friday, May 1, 2009 will be placed on a waiting list, and JGASC will notify the applicants if space becomes available.(Remarks:Date and time shall be based on Japan standard time)
 
5. Application Procedures
(1)   Ten percent (10 %) of the total amount for the requested space shall be remitted to one of the following bank accounts as non-refundable deposit. The handling charges of the remittance shall be borne by applicants.

(3)   If two or more applicants desire to exhibit in the same booth, one principal applicant shall be selected. The principal applicant shall be responsible for fulfilling application procedures and paying the participation fees. In the case of co-exhibitors, YEN 52,500 (fifty two thousand and five hundred - VAT included) per co-exhibitor other than the principal applicant must be added to the deposit.
(4)   If the remittance of the deposit cannot be acknowledged, the application form is not filled in properly, or the application procedures are not satisfied for any other reason, JGASC will reject the application.
6. Application Acceptance
(1)   JGASC will notify applicants in writing of acceptance by Monday, June 1, 2009, after acknowledging receipt of the deposit, application, and eligibility of exhibitor. (Hereinafter an applicant who has received a notice of acceptance is called an Approved Applicant.) JGASC will notify those who are not permitted to exhibit in writing by the above date.
(2)   JGASC will reimburse the deposit to applicants who are not approved, according to the instructions of remittance enclosed with the above notice.
7. Space Adjustment
(1)   JGASC reserves the right to adjust the number of unit, in consideration of the capacity of accommodation or number of applications. JGASC will notify any applicant affected by any adjustment in writing by Monday, June 1, 2009.
(2)   JGASC will not accept cancellation or modification of the approved application, except where JGASC agrees that the applicant cannot achieve his intended exhibit due to the adjustment. If JGASC approves cancellation of the application, the deposit will be reimbursed to the applicant.
8. Effective Date of Exhibition Agreement
(1)   Approved Applicants shall remit the allocated space fee (Participation Fee minus the deposit), whether or not invoicing is made by JGASC, to the bank account specified above (the account for deposit at the time of application) not later than Friday, July 31, 2009. The Exhibition Agreement shall take effect from the date when JGASC acknowledges full payment of the Participation Fee. (Hereinafter the Approved Applicant, after Exhibition Agreement takes effect, is called the Exhibitor.)
(2)   If an Approved Applicant fails to remit the allocated space fee by the specified date, JGASC may cancel the application. In this case, JGASC will not reimburse the deposit, and further the Approved Applicant shall pay 90% of the amount of the Participation Fee as penalty.
9. Space Allocation
(1)   JGASC will decide space allocation at its discretion and notify the Approved Applicant of the decision by the date of “Applicants Meeting” (expected to be held around beginning of June 2009). The Approved Applicant can not refuse or request modification of the allocated space.
(2)   The Approved Applicant shall not sell, mortgage, transfer or lend any or all of the allocated space to the third party. Without written approval by JGASC, an Approved Applicant shall not exchange his space with another Approved Applicant.
10. Cancellation / Space Reduction
(1)   The Exhibitor and the Approved Applicant shall not cancel or reduce the space except if the applicant submits notice of cancellation or space reduction in writing, and JGASC approves. Even when JGASC accepted cancellation or space reduction, the following penalty will be imposed on the applicant.

Before the deadline of deposit payment: 10% (On or before 30 April 2009)
JGASC will not reimburse the paid-up deposit (in case of space reduction, applicable amount corresponding to the number of reduced units) to the applicant.

Before the deadline of payment for whole participation fee: 50% (1 May – 31 July 2009)
JGASC will invoice for 50% of the amount of the Participation Fee deducting paid-up deposit (in case of space reduction, applicable amount in relation to the number of units reduced) to the Approved Applicant.

After the deadline of full payment: 100% (On or after 1 August 2009)
JGASC will invoice for 100% amount of the Participation Fee deducted by paid-up deposit (in case of space reduction, applicable amount corresponding to the number of reduced units) to the Approved Applicant.

(2)   If the Exhibitor does not start to occupy the allocated space by Sunday, October 4, 2009, – two (2) days before the opening day of the exhibition, JGASC may cancel the Exhibition Agreement without notice. Consequently, the Exhibitor shall loose the right to use the allocated space and JGASC reserves the right to utilize such allocated space at its discretion. In this case, the Exhibitor can not receive reimbursement of the Participation Fee, and cannot demand any compensation for loss or damage from JGASC.
11. Exhibition Catalog
      JGASC issues the exhibition catalog, making the best efforts to ensure that the description is correct, but JGASC is not responsible for any errors or omissions in the catalog.
12. Security of Exhibits
      JGASC shall not be liable for any damage or theft of exhibits/decorations, or injury to the Exhibitor personnel or visitors, due to the occurrence of any event beyond JGASC’s control such as natural disaster, acts of God.
13. Compensation for Damages, Liability Insurance
(1)   The Exhibitor shall take full responsibility for any damage of the facilities or the building structure of the venue, or injury to exhibitors or visitors, when such damage or injury is caused by the Exhibitor, its agents, its representatives, or any other relevant person.
(2)   The Exhibitor shall carry at his expense sufficient property insurance to cover damages for fire, disaster, theft, loss and damage, and liability insurance to cover damage and injury to third parties.
14. Restoration of Allocated Space Condition
(1)   The Exhibitor shall restore the allocated space to its original condition by the date specified by JGASC as soon as the exhibition finishes. If JGASC decides that Exhibitor is unable to complete the restoration by the date, JGASC or a third party appointed by JGASC will restore the said space, and JGASC reserves the right to demand all expenses incurred by the restoration, including fees of keeping the exhibits, on the Exhibitor.
(2)   JGASC or a person appointed by JGASC shall not be liable for any damage or destruction of the exhibits unless it is proved that the damage or destruction is caused by gross negligence of JGASC or the appointed person.
(3)   If the expenses mentioned in the clause 1 above is not compensated by the Exhibitor, JGASC is entitled to sell the exhibits and other property in custody and apply the proceeds to the compensation. In this process, the exhibitor shall not have a right to raise an objection to the calculation method of the selling price.
15. Observation of Terms and Regulations
(1)   Both Japanese and English displays are recommendable for displays such as panels of exhibits, promotional brochures/documents etc.
(2)   Display of exhibits and distribution of promotional materials shall be allowed only in the area of Exhibitor’s allocated booth.
(3)   The Exhibitor shall obey the rules and regulations for exhibits and decorations throughout the exhibition, including move-in and move-out days, and shall be responsible for various charges under the direction of JGASC.
(4)   The Exhibitor shall obey rules, regulations and remarks, including those contained in the “Exhibitor Manual” provided by JGASC, as well as this “Terms of Application”. In addition, the Exhibitor shall follow any additional instructions given by JGASC and cooperate with it to ensure that the exhibition runs smoothly.
16. Amicable Relation with Neighboring Exhibitors
      The Exhibitor shall not disturb neighboring exhibitors by acoustic devise or visual equipment etc. prepared for demonstration or booth effect. Also the Exhibitor shall try to keep amicable relations with neighboring exhibitors throughout the exhibition period including move-in and move-out periods.
17. JGASC's Right
(1)   JGASC reserves the right to require the Exhibitor to remove from the booth or exhibition area the exhibits and decorations that are deemed by JGASC to be contrary to the intent of the exhibition.
(2)   JGASC reserves the right to require the Exhibitor to remove the exhibits and decorations that are deemed to be against the public interest or infringe upon others’ right such as intellectual property.
(3)   JGASC reserves the right to prohibit the Exhibitor or the related personnel from making noises disturbing neighboring Exhibitors or any other inappropriate promotional activity.
(4)   JGASC reserves the right to take necessary actions against the Exhibitors or related personnel if the Exhibitor or related personnel breaches any of the preceding clauses.
(5)   If the Exhibitor or related personnel does not obey JGASC’s instructions immediately, JGASC reserves the right to terminate the Exhibition Agreement and prohibit the use of the allocated space. In this case, JGASC will not reimburse the Participation Fee paid by the Exhibitor.
(6)   JGASC reserves the right to change regulations or rules for the purpose of better exhibition.
(7)   JGASC reserves the right to make photographs, drawings and films of Exhibitor’s activities, the ways of exhibition, and the exhibits themselves. JGASC may use such photographs, drawings and films for advertising purposes and for press publications, without the Exhibitor’s consent. This also applies to pictures taken by the press with JGASC’s permission.
(8)   JGASC reserves the right to make a final decision on a matter which is not specified in this “Terms of Application” or which is in doubt in consideration of the purpose of the exhibition.
18. Cancellation of Exhibition
      JGASC may be forced to cancel the exhibition due to the causes beyond its control such as natural disaster, force majeure, and so forth. If the exhibition is cancelled before the move-in starting date (October 2, 2009), JGASC will reimburse the Participation Fee minus the handling fee incurred by JGASC. JGASC shall not be responsible for any damage or expense incurred by the Exhibitors due to cancellation of the exhibition, regardless of the time of the cancellation.
19. Alteration of Duration and Opening Time
(1)   JGASC reserves the right to alter the duration (including move-in and move-out periods) and opening time for reasons beyond its control such as natural disaster or other force majeure.
(2)   The Exhibitor is not entitled to cancel the application, or terminate or modify the Exhibition Agreement because of the alteration. JGASC shall not be responsible for any damage or occurrence/increase of expenses for the Exhibitor due to the alteration.
20. Exhibit under Patent and Utility Model Right
      JGASC will apply to the Japan Patent Office for a designation of this exhibition as “exposition”. The Exhibitor shall take the responsibility of following necessary procedures to protect his rights under Article 30, Paragraph 3 of the Japanese Patent Law and Article 9 of the Japanese Trademark Law.
21. Bonded Display Area
      JGASC will apply for the designation of a “bonded display area” to the Custom and Tariff Bureau so that the exhibits can be displayed as bonded items. The Exhibitor who desires to display the exhibits as bonded items is required to follow the necessary importing procedures.
22. Agreement of Jurisdiction
      Any litigation which may arise between JGASC and an Exhibitor (including an applicant) in relation to the Exhibition Agreement shall fall within the jurisdiction of the Tokyo District Court in accordance with the laws of Japan, and related rules and regulations, including these terms, shall be interpreted on the basis of the Japanese language version.
